Terms of Use

These Terms of Use (“Terms”) form a binding agreement between you (“you”, “user”) and WB Exchange Digital Systems (“WB Exchange”, “we”, “our”) governing your access to and use of our mobile applications, websites, APIs, and related services (together, the “Services”).

By installing the app, creating an account, or otherwise using the Services, you confirm that you have read, understood, and agreed to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Services.

To use WB Exchange, you must:

• Be at least 18 years old (or the age of legal majority in your jurisdiction);
• Have the legal capacity to enter into a binding contract;
• Not be a resident of, or accessing the Services from, a jurisdiction in which crypto-asset services are prohibited or where we do not operate;
• Not be listed on any sanctions register or politically exposed persons list that would bar us from providing services to you.

You must register an account to use most features of the Services. You agree to provide accurate, current, and complete information and to keep that information up to date.

As a regulated financial service, we are required to verify your identity. By using the Services you consent to providing government-issued ID, proof of address, selfie verification, and other documents we reasonably require to comply with Know Your Customer (KYC) and Anti-Money Laundering (AML) obligations.

You are responsible for safeguarding your credentials, PIN, biometric login, and recovery phrase. We are not liable for losses arising from your failure to maintain account security.

WB Exchange provides:

• Crypto trading and swaps — buying, selling, and converting supported crypto assets at posted market rates.
• Gift card redemption — converting eligible gift cards into crypto or local currency, subject to verification and redemption rates.
• Bill payments — paying for airtime, mobile data, electricity, TV subscriptions, and similar billers from your WB Exchange balance.
• Telegram trading — a parallel interface allowing verified users to transact through our official Telegram bot.

The Services we offer, the assets we support, and the regions we serve may change at our discretion. We will provide reasonable notice of material changes where required.

When using the Services, you agree to:

• Use the Services only for lawful purposes;
• Provide accurate transaction details, wallet addresses, and biller information;
• Verify destination addresses before confirming any crypto transfer — on-chain transactions cannot be reversed;
• Comply with all applicable tax obligations arising from your use of the Services;
• Notify us immediately of any unauthorized access or suspected breach of your account.

You must not, directly or indirectly:

• Use the Services for money laundering, terrorism financing, fraud, or any other illegal activity;
• Submit forged, stolen, or third-party-owned gift cards;
• Provide false KYC information or impersonate another person;
• Operate multiple accounts to circumvent limits or restrictions;
• Attempt to disrupt, reverse-engineer, or gain unauthorized access to our systems;
• Use bots or automated tools that have not been authorized by us in writing.

We may suspend or terminate accounts that we reasonably believe have engaged in prohibited activity, and we may report suspicious activity to law enforcement.

We charge fees and apply exchange rates as displayed in the app at the time of each transaction. By confirming a transaction, you agree to the quoted fees and rates.

Crypto deposits are credited after the required number of network confirmations. Withdrawals, gift card payouts, and bill payments are typically processed in real time but may take longer in cases of high network congestion, banking downtime, or additional compliance review.

You acknowledge that crypto markets operate 24/7, prices can move significantly in short periods, on-chain transfers are irreversible, and the regulatory landscape for digital assets is evolving and may change without warning.

The Services, including all software, designs, logos, content, and trademarks, are owned by WB Exchange or our licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Services for personal, non-commercial purposes consistent with these Terms.

To the maximum extent permitted by law, WB Exchange and its affiliates, directors, employees, and agents will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Services.

Our total aggregate liability to you for any claim arising out of these Terms is limited to the fees you have paid to us in the twelve (12) months preceding the event giving rise to the claim.

You agree to indemnify and hold harmless WB Exchange and its affiliates from any claims, losses, damages, liabilities, and expenses (including legal fees) arising out of your use of the Services, your violation of these Terms, or your violation of any rights of a third party.

We may suspend or terminate your access to the Services at any time, with or without notice, if we reasonably believe you have violated these Terms, presented a risk to our platform, or where required by law. You may close your account at any time by contacting support, subject to settlement of any outstanding balances or obligations.

We may update these Terms from time to time. When we make material changes, we will notify you through the app, by email, or by updating the “Last updated” date above. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.

These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to its conflict of laws principles. Any dispute arising out of or in connection with these Terms shall first be addressed in good faith through direct negotiation, and if unresolved within thirty (30) days, submitted to binding arbitration in Lagos, Nigeria.
